RivramThese Terms & Conditions ("Terms") govern your access to and use of the expense-management and bookkeeping application, websites, and related services (collectively, the "Service") provided by Rivram, Inc. ("Rivram", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
2. The Service
Rivram helps you connect financial accounts, categorize transactions, manage receipts, and generate financial reports, with the assistance of automated and AI-based tools. Bank and financial connections are provided through third-party aggregators and are read-only: Rivram cannot move, transfer, or withdraw your funds.
3. Not financial, tax, or legal advice
The Service, including AI-generated categorizations, suggestions, confidence scores, and reports, is provided for informational and bookkeeping convenience only. It does not constitute accounting, tax, legal, investment, or financial advice. You are responsible for reviewing all data and for consulting a qualified professional before relying on any output for tax filings, financial decisions, or compliance.
4. Your responsibilities
- Use the Service in compliance with all applicable laws and regulations.
- Review automated categorizations and reports for accuracy before relying on them.
- Not misuse the Service, interfere with its operation, or attempt unauthorized access.
- Not upload unlawful content or content you lack the right to share.
- Maintain your own backups of critical records; export functionality is provided on every plan.
5. Plans, trials, and payment
Paid plans are billed in advance on a recurring basis (monthly or yearly) according to the pricing in effect when you subscribe. Free trials, where offered, convert to paid subscriptions unless cancelled before the trial ends. Fees are non-refundable except where required by law. We may change pricing on a going-forward basis with reasonable notice; changes do not affect the current paid period.
6. Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period, and you retain access until then. You may delete your account at any time, subject to the data-handling described in our Privacy Policy.
7. Intellectual property
The Service, including its software, design, and branding, is owned by Rivram and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business or personal bookkeeping purposes. You retain ownership of the data and content you submit ("Your Content"), and you grant us a license to host, process, and use Your Content as necessary to provide and improve the Service.
8. Third-party services
The Service relies on third-party providers, including financial-data aggregators, payment processors, and AI providers. Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that any categorization, calculation, or report will be complete or accurate.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIVRAM AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR USD $100.
11. Indemnification
You agree to indemnify and hold harmless Rivram and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.
12. Suspension and termination
We may suspend or terminate your access to the Service if you violate these Terms, if required by law, or to protect the Service or other users. You may stop using the Service at any time. Provisions that by their nature should survive termination — such as ownership, disclaimers, and limitations of liability — will survive.
13. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration, where applicable.
14. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
